Legal
Terms of Service
The conditions for using Tooru: your account, the monthly allowance and how usage is counted, plans and billing, what our crawler does on the sites you diagnose, and how your data is handled.
Article 1. Scope
- These Terms set out the conditions for using Tooru (the “Service”), a service provided by unType Inc. (“we”, “us”) that diagnoses how well a website can be found, read, understood and used by AI.
- You use the Service on the basis that you agree to these Terms. By registering an account, you are deemed to have agreed to them.
- Individual rules we publish within the Service, including the price list and the Legal Notice under the Act on Specified Commercial Transactions, form part of these Terms. Where these Terms and an individual rule conflict, the individual rule prevails.
Article 2. Definitions
- User
- An individual, company or other organisation that has agreed to these Terms and uses the Service.
- Account
- The identity a User registers in order to use the Service, including sign-in by email address and password or through an external service we support (Google or Microsoft).
- Organisation
- The unit under which an Account’s data is managed. Each Organisation’s data is kept separate from every other Organisation’s.
- Target site
- A website, and its pages, that a User specifies for diagnosis.
- Diagnosis
- Our systems fetching and analysing pages of a Target site and related resources (such as robots.txt and sitemaps), and producing scores, findings and ways to fix them.
- AI analysis
- Analysis and recommendations written by an external AI model we use, based on Diagnosis results and the content of the fetched pages.
- Plan
- The form in which a User uses the Service: the Free plan, or a paid plan billed monthly or yearly.
- Monthly allowance
- The amount of the Service a User may use in each period, provided under their Plan.
- Usage
- The share of the allowance a User has used, shown as a percentage.
- Extra allowance
- Allowance bought in advance as a one-time purchase, separate from the Monthly allowance.
- TooruBot
- The name of the crawler we use when accessing a Target site for a Diagnosis.
Article 3. Accounts
- You must register accurate information and update it promptly when it changes.
- Until your email address has been confirmed, you may be unable to use all or part of the Service.
- You are responsible for keeping your sign-in details (your password, or the external account you sign in with) secure, and you must not let any third party use them. Anything done through your Account is treated as done by you.
- Where the User is a company or other organisation, use of the Account by its officers and employees for that organisation’s business is not use by a third party under the preceding paragraph. The User remains responsible for the sign-in details and for everything done through the Account.
- You may not transfer or lend your Account to anyone else.
Article 4. Allowance and usage
- Using the Service’s functions, such as Diagnosis and AI analysis, draws on your allowance. How much each function uses is as shown within the Service.
- We show how much of your allowance you have used as a percentage, and for functions that use the allowance we show a guide to the amount they will use.
- When a function runs, the amount it needs is reserved from your allowance. The amount actually used is settled when it finishes and anything unused is returned. Pages that could not be fetched use no allowance. The settled amount never exceeds the amount reserved.
- If the allowance you have left is less than the amount a function needs to reserve, that function cannot be run.
- A Monthly allowance can be used only within the period for which it was provided. Anything unused at the end of the period expires and does not carry over.
- Your Monthly allowance is used first; any shortfall is taken from your Extra allowance.
- There is no charge for usage beyond your allowance (no overage billing). When your allowance runs short, you may wait for the next allowance, buy Extra allowance, or move to a higher Plan.
- Allowance cannot be exchanged for cash or anything else, and cannot be transferred to another User.
- Scheduled diagnosis set by a User runs automatically at the frequency set and uses allowance. However, pages whose results are the same as the previous run do not use allowance. When the allowance is insufficient, scheduled diagnosis does not run.
Article 5. Plans and fees
- The fees, Monthly allowance and billing period of each paid Plan are as set out in the price list within the Service and in the Legal Notice under the Act on Specified Commercial Transactions.
- Prices are shown excluding tax. Japanese consumption tax and any other tax that applies where you are located are added at checkout.
- Fees are charged to your registered credit card through the payment provider we designate (Stripe). You are billed in Japanese yen or US dollars depending on your region, and the currency cannot be changed after you subscribe. You must keep your payment method valid.
- A paid Plan renews automatically on the same terms at the end of each billing period, and the fee is charged on each renewal date.
- The Monthly allowance of a paid Plan is provided every month, counted from the date the subscription started. On yearly billing, the Monthly allowance is still provided month by month.
- We may change fees and Monthly allowances. A change applies from your next renewal after we have notified you within the Service or by email. If you do not agree to the change, you may cancel before the renewal.
Article 6. Free trial
- The paid Plans we designate (as of the effective date of these Terms, Lite and Starter) come with a 14-day free trial from the start of the subscription.
- A credit card is required to start a trial. During the trial you may use the full Monthly allowance of the Plan you chose.
- When the trial ends (on the 15th day of the subscription) the first fee is charged and the paid subscription begins. Any allowance left from the trial expires and is replaced by the paid Plan’s Monthly allowance. If you cancel before the trial ends, you are not charged.
- A trial is available once per person who creates Organisations. If any Organisation created by the person who created your Organisation (including your Organisation itself) has ever had a paid subscription — including one that was cancelled or started without a trial — no trial is available.
- You cannot change Plan during a trial. If you end the trial and start the paid subscription immediately, you may change Plan afterwards.
Article 7. The Free plan
- The Free plan is free of charge. It comes with a set Monthly allowance, renewed every month counting from the day the Organisation was created; anything unused from the previous period expires.
- On the Free plan you can register one site.
- On the Free plan, diagnosis history and trends are shown for the most recent 30 days. This limits what is displayed; it does not delete any data.
- Extra allowance cannot be bought on the Free plan.
- On the Free plan, scheduled diagnosis can only be set to run monthly.
Article 8. Extra allowance
- Extra allowance can be bought by Users with a paid subscription, including during a free trial.
- Extra allowance does not expire. However, any unused Extra allowance lapses if the Organisation to which it belongs is deleted or if we end the Service.
- Extra allowance you have already bought remains usable on the Free plan after you cancel a paid Plan.
Article 9. Changing Plan
- A User on a paid Plan may change Plan and billing interval (monthly or yearly).
- A move to a higher Plan takes effect immediately. We charge the difference for the rest of the current billing period at once, and add the difference in Monthly allowance at once. When moving from monthly billing to a higher Plan on yearly billing, billing switches to yearly at once, and we charge at once the yearly price for the rest of the yearly period, less the unused part of the monthly period. When moving from yearly billing to a higher Plan on monthly billing, the higher Plan applies on yearly billing until the current period ends, and monthly billing starts from the next renewal.
- A move to a lower Plan, and a change of billing interval without changing Plan, take effect from the next renewal. The User may cancel such a scheduled change until then, and cancelling the subscription also cancels it. There is no prorated refund or adjustment; the current period’s allowance stays available until the renewal.
- Changing Plan during a free trial is governed by Article 6, paragraph 5.
Article 10. Cancellation
- You may cancel a paid Plan at any time from Settings within the Service.
- Cancellation takes effect at the end of the current billing period. You can keep using the paid Plan until then.
- You may withdraw a pending cancellation before the billing period ends.
- After the billing period ends you may continue to use the Service on the Free plan. The paid Plan’s Monthly allowance expires at the end of the billing period.
Article 11. Refunds
- Because the Service is digital and provided immediately after payment, fees already paid are not refunded except where required by law. No prorated refund is made for the remainder of a billing period when you cancel part-way through.
- Allowance already provided is not refunded or exchanged for cash for any reason.
- Extra allowance is a one-time purchase and cannot be returned or refunded after purchase.
Article 12. Failed payments and chargebacks
- If a payment does not go through, it is retried through the payment provider. Until it succeeds, we do not provide a new Monthly allowance.
- If a User disputes a payment with the payment provider (a chargeback) without good reason, we may stop the Organisation from running any function that uses allowance. Even then, the User can still view past Diagnosis results and export their data.
- Whether to lift a stop under the preceding paragraph is decided by us after discussion with the User.
Article 13. Target sites and our crawler
- You warrant that each Target site you specify meets at least one of the following.
- It is a website you operate or manage.
- You have been given permission by its operator to diagnose it.
- It consists of pages that are publicly available for anyone to access.
- For a Diagnosis, our systems access the Target site with a User-Agent containing the name TooruBot, and fetch the pages as well as robots.txt, sitemaps, llms.txt and other public resources.
- If the Target site refuses access by TooruBot, we may access the same URL once more with the User-Agent of a common web browser, in order to tell what caused the refusal.
- TooruBot does not fetch pages that robots.txt disallows for TooruBot (or, where there is no group for TooruBot, for all crawlers). Where a Crawl-delay is specified, TooruBot waits that long between pages. The Service also reads the content of robots.txt as one of the things it evaluates.
- To limit the load on Target sites, we set limits on the number of pages, the amount of data and the time a single Diagnosis may use.
- You understand that a Diagnosis involves accessing the Target site, and you will resolve, at your own responsibility and expense, any dispute that arises with the Target site’s operator or any other third party.
- Scheduled diagnosis can be set only for domains whose ownership the User has verified. To limit the load on Target sites, we decide the time at which scheduled diagnosis runs.
Article 14. Prohibited conduct
- You must not do any of the following.
- Use the Service in breach of law or public order, or in a way that infringes the rights of a third party.
- Use the Service to obtain non-public information by getting around authentication or other restrictions.
- Place excessive load on the Service, access it without authorisation, or reverse-engineer it.
- Use the results of the Service to defame or disparage us or any third party.
- Resell or re-provide the Service itself without our permission. (Use of Diagnosis results is governed by Article 18.)
Article 15. Diagnosis results and AI analysis
- Diagnosis results and AI analyses are reference information generated automatically by our systems. We do not warrant their accuracy, completeness, usefulness or fitness for any particular purpose.
- AI analyses are generated by an external AI model (currently Anthropic’s Claude) and may contain statements that are untrue or inappropriate. You use the results on your own judgement and at your own responsibility.
- Diagnosis results reflect the state of the pages at the time they were fetched, and change when the pages change. We may revise our evaluation criteria, and results may differ before and after a revision.
- Diagnosis results and AI analyses are not a substitute for professional advice, such as legal, tax or security advice.
- We may change the external AI model used for AI analysis at our discretion.
Article 16. Handling of data
- We keep the URLs you enter, the content of the pages we fetch, Diagnosis results, AI analyses and your account information in order to provide and improve the Service and to prevent abuse. Details are set out in our Privacy Policy.
- Your data is stored separately for each Organisation so that other Users cannot access it.
- When an AI analysis is generated, part of the content of the diagnosed page is sent to the provider of the external AI model. What is sent is set out in our Privacy Policy.
- You can export your own data in a machine-readable format using a function within the Service.
- We may use information obtained by statistically processing Diagnosis results and the information registered for sites (such as the industry), in a form that does not identify any individual User or site, to improve the Service, for research, and for publication.
Article 17. Deleting your account or an Organisation
- You may delete your own Account from Settings within the Service, after confirming your identity. You can no longer sign in from that moment, and you leave every Organisation you belong to. The sites, Diagnosis results, reports and other data of those Organisations, and their paid subscriptions, stay with the Organisations. If you are the last owner of an Organisation that has other members, or the only member of an Organisation, you must first make someone else an owner or delete that Organisation.
- An owner of an Organisation may delete the Organisation from Settings within the Service, after confirming their identity. Once deletion is complete, the members of the Organisation can no longer use it, and the owner who deleted it can no longer sign in. The Organisation’s paid Plan will not renew and ends at the end of the current billing period. No refund is made.
- Thirty days after an Organisation is deleted, we permanently erase its sites, Diagnosis results and AI analyses, and the profile information of the owner who deleted it. Within those 30 days the deletion may be withdrawn by replying to the confirmation email.
- Information we are required by law to keep, such as billing records, and records of transactions and of actions taken in the Account, are kept for as long as necessary.
- When an Organisation is deleted, its unused allowance, including Extra allowance, lapses.
Article 18. Intellectual property
- Intellectual property rights in the Service, including its software, evaluation criteria, text and design, belong to us or to their rightful owners.
- Rights in the content of the Target site’s pages belong to you or to their rightful owners. We use that content only to the extent needed to provide the Service.
- You may freely copy, adapt and distribute Diagnosis results and AI analyses for your own business, including proposals and reports to your own clients.
Article 19. Changes to, suspension and end of the Service
- We may change or add to the content of the Service without notice to you. Changes to fees and Monthly allowances follow Article 5, paragraph 6.
- We may suspend the Service for system maintenance, faults, the outage of external services (payment, AI models, hosting), natural disasters or other unavoidable reasons.
- We may end the Service by giving notice at least three months in advance. In that case we refund the part of any fee already paid that corresponds to the billing period remaining after the end date.
- When the Service ends, any unused allowance, including Extra allowance, lapses.
Article 20. Disclaimer and limitation of liability
- We are not liable for damage you suffer arising from interruption or stoppage of the Service, loss of data, or the content of Diagnosis results, except where caused by our wilful misconduct or gross negligence.
- Where we are liable, our liability is limited to the total fees you paid us in the 12 months preceding the event that caused the damage. This limit does not apply where the damage was caused by our wilful misconduct or gross negligence.
- We are not involved in, and are not liable for, disputes between Users, or between a User and a third party (including the operator of a Target site).
Article 21. Suspension and removal of accounts
If a User breaches these Terms, fails to pay fees, or we otherwise judge their use of the Service to be inappropriate, we may suspend their use or remove their Account without prior notice. We are not liable for any damage the User suffers as a result.
Article 22. Changes to these Terms
- We may change these Terms. Changed Terms take effect on the effective date we set. Before that date, we announce the content of the change and the effective date within the Service or by email. A change that is to your disadvantage is announced at least 30 days before its effective date.
- If you use the Service after a change takes effect, you are deemed to have agreed to it.
Article 23. Notices and contact
- We give notices to Users by email to the registered address or by posting within the Service.
- Contact us at support@tooru.ai. Operator: unType Inc., Aoyama Marutake Bldg. 6F, 3-1-36 Minami-Aoyama, Minato-ku, Tokyo 107-0062, Japan.
Article 24. Governing law and jurisdiction
- These Terms are governed by the laws of Japan.
- The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute between us and a User relating to the Service.
Article 25. Language
The Japanese version of these Terms is authoritative; this English version is a reference translation. Where the two differ, the Japanese version prevails.
